Anthropic IPO valuation explained: what the S-1 tells us

by admin October 27, 2026
October 27, 2026

Anthropic publicly filed its S-1 registration statement on Monday, offering investors a closer look at the financial performance of the company behind the Claude family of AI models ahead of its much-anticipated initial public offering.

Anthropic has not set an IPO valuation. The S-1 it made public on 26 October 2026 leaves both the price range and the number of shares blank.

The three valuation numbers, and how reliable each one is

Layer Figure Status
Private: Series H (May–June 2026) $65.2B gross proceeds at $589.0095 per preferred share ✅ Confirmed in the S-1
Series H headline valuation ~$965B post-money ⚠️ Media-reported (CNBC). Not stated in the S-1 and not verified by Invezz
Reported IPO talk ~$1.5trillion–$2trillion 🟡 Reported only (IFR, Reuters). Not confirmed by Anthropic
IPO price range — ⬜ Blank in the S-1

1. What the Series H actually shows

According to the S-1, Anthropic sold 77.6 million Series H-1 and 33.1 million Series H-2 preferred shares in Q2 2026 at $589.0095 each.

Gross proceeds were $65.2 billion. That is the most recent price set by investors and disclosed in the filing.

One detail matters for anyone comparing that price with a future IPO price.

On 17 September 2026, Anthropic carried out a 10-for-1 forward split of its Class A and Class N common stock, and adjusted the conversion rate of its preferred stock to match.

By Invezz’s reading, each Series H preferred share now converts into ten common shares. That would put the Series H price at roughly $58.90 per common share on a post-split basis.

2. What the media is reporting

IFR and Reuters, citing people familiar with the matter, have reported that IPO valuation discussions are in the $1.5 trillion to $2 trillion range.

Anthropic has not confirmed any IPO valuation. These figures should be treated as reported until a price range appears in an amended S-1.

3. Why the price range is blank

Companies usually file their first public S-1 without pricing and add a range once the roadshow is about to start. Media reports suggest that could be the week of 9 November.

Two factors will affect what each IPO share is worth.

First, convertible notes, including Amazon’s, are set to convert into Class N stock at the IPO. Second, there are RSU settlements. Both increase the share count.

What should investors do next?

Investors should avoid treating reported IPO valuations as confirmed figures until Anthropic discloses its proposed price range and share count in an amended S-1 filing.

The Series H financing provides a confirmed reference point, but the reported $1.5 trillion to $2 trillion IPO valuation remains unverified.

Investors should also account for the conversion of convertible notes and the settlement of restricted stock units, both of which could affect the final share count and per-share price.

Anthropic shares are not yet publicly traded. Investors will need to wait until the company completes its IPO and lists its shares on a stock exchange.

What to watch next

Share-count adjustments: The conversion of convertible notes, including Amazon’s, and restricted stock unit settlements could affect the number of shares outstanding and the implied valuation per share.

The amended S-1 filing: The proposed IPO price range and share count will provide the first official basis for assessing Anthropic’s public-market valuation.

The IPO roadshow: Media reports suggest it could begin in the week of November 9, potentially bringing further details on pricing and investor demand.
